INTRODUCTION TO THE PROJECT AND FUNDRAISING CAMPAIGN

The crowdfunding campaign consists of financing the company Sensing Solutions, S.L., so that it can make various payments to suppliers of components necessary for the production of a certain number of devices involved in the InChildHealth project, funded by Horizon Europe.

The InChildHealth project consists of conducting air quality analysis in different European schools and implementing measures to improve it. The devices produced within this program will be used in schools in Barcelona (Spain), Athens (Greece), and Helsinki (Finland). Subsequently, the same devices will be reused elsewhere.

INCHILDHEALTH PROJECT AND HORIZON EUROPE

The InChildHealth project is a project formed by a consortium of companies and institutions from different countries of the European Union, who come together to try to find a solution to a problem posed by the European Union. In their case, the InChildHealth project aims to develop a system and a device to be used to analyze the indoor air quality in spaces occupied by children, in order to improve their health and thus reduce the illnesses of these groups.

The InChildHealth project is composed of 12 institutions, including Sens Solutions, from Spain (3 institutions), Finland (2 institutions), Greece (2 institutions), Portugal (2 institutions), Austria (2 institutions), Denmark (1 institution), and Portugal (2 institutions). In addition, the consortium includes 3 other institutions (from the United Kingdom, Switzerland, and Australia) that do not receive public funding because they are not companies located in the European Union.

The InChildHealth project won the competition against other consortia and received a grant of over 7 million euros on September 1, 2022, for the implementation of the project in the following years. The European grant is awarded by the European Health and Digital Executive Agency.

Finally, Horizon Europe is the main program of the European Union for research and development of various initiatives of public interest in the European Union. In some cases, the projects developed are too risky or have social benefits that outweigh the financial benefits, making them difficult to finance for traditional entities. The program has, globally, 95.5 billion euros of funding for this type of projects. Ener2Crowd itself has participated or is participating in several projects funded by Horizon Europe.

THE ROLE OF SENS SOLUTIONS AND THE COMPANY'S PRODUCTS

As part of the InChildHealth program, Sens Solutions is the manufacturer of the device that analyzes the air quality in different rooms where students are located. Sens Solutions will provide 3 different types of devices:

  • Mini-Aero S3DP (20 units).
  • Aero S3DP (120 units).
  • AMR S3DP (8 units).

Impulse 4 Women
(I4W) is an association that helps women entrepreneurs advance their businesses (including connecting interested investors with startups seeking funding). The work of I4W is extensive, as they work with over 11,000 startups globally, 6,000 of which are located in the European Union. Since 2017, I4W has helped channel a total of over $12 million.

This fundraising campaign is part of the partnership agreement signed between Impulse 4 Women and Ener2Crowd for the
financing of startups recommended by I4W.

PROJECT PLACES

The products will initially be used in three schools (not yet decided) in three different municipalities in the European Union: Barcelona (Spain), Athens (Greece) and Helsinki (Finland). Subsequently, they will be used in other places, depending on the needs of the moment.

SENS SOLUTIONS




Sensing Solutions, S.L. is a company dedicated to the production and commercialization of various products used for monitoring air and water quality. Its scope is limited to the entire European Union, although it focuses on the Spanish market and, more specifically, around the Barcelona metropolitan area.

Sens Solutions was established in 2016 and its director has extensive experience in the research and development sector, having also been part of the research team of the Spanish National Research Council (CSIC).

Sens Solutions has 4 main products in its portfolio, some of which are protected by patents, of different sizes and characteristics, which help monitor air or water quality.

ANALYST OPINION

Sens Solutions is a company founded in 2016 that is dedicated to the production and commercialization of various products used to monitor air and water quality. Sens Solutions has several partners, although only two are the actual owners of the company. The partners in question are Silvia Gómez Montes (with a 59% stake) and Marck Collado Sebastià (with a 28% stake). In turn, Sens Solutions is governed by a sole administrator, Silvia Gómez Montes.

The analysis has been commissioned to Focus Partners, an expert independent consultant, who carries out an analysis of the loan operation from the perspective of the operation itself, as well as an analysis of the current situation of the company. Below are the different conclusions of the analysis conducted by Focus Partners on the economic-financial situation of Sensing Solutions, S.L. and the loan operation:

  • Profitability: the margins, particularly the EBITDA, highlight the efficiency of financial management and the favorable performance in revenue generation and overall profitability of the company.
  • Assets: a detailed analysis of the composition of Sens Solutions' balance sheet reveals a solid structure. A significant portion of the total assets is represented by trade receivables and other receivables. This percentage highlights an active and dynamic policy in credit management, which can be indicative of a healthy relationship with customers and business partners.
  • Equity and liabilities: the equity situation shows the solidity and stability of the financial situation. Liabilities consist mainly of trade debts and do not include significant financial debts.
  • Working capital requirement: the company's cash position suggests that it will have no problems meeting short-term payments.
  • Forecasts: for the year 2024, a very significant increase in turnover and margins is expected thanks to revenue generation from European projects.
  • Loan operation and grant collection: it is expected that the amount to be received after device delivery will be 377,409.19 euros, ensuring the repayment of the loan capital in the short term.
  • Scoring: a score of 8 (out of 10) is assigned to the current financing operation.


CONTRACT STRUCTURE

The crowdfunding campaign will serve to finance the acquisition of the components necessary for the manufacture of the products involved in the InChildHealth project, financed by Horizon Europe. The financing was formalized between the investors and Sensing Solutions, S.L., the company benefiting from the grant awarded by Horizon Europe.

INTEREST RATE

Sens Solutions has unilaterally decided to offer a significantly higher interest rate than the market rate for this loan. The company is aware of the difficulty in obtaining the necessary funds within the short time frame available, so it is offering a very competitive interest rate in order to secure the financing as quickly as possible.

The company must achieve a minimum funding goal of 100,000 euros by January 15, 2024 in order to make payment to a group of suppliers by January 31, 2024. The 16-day period between the two dates includes the 14-day period for investors to withdraw from the investment operation.

CAPEX

The crowdfunding campaign has a minimum goal of 100,000 euros and a maximum goal of 110,000 euros.

The estimated cost for the production of the devices is around 905,000 euros. The minimum funding goal on Ener2Crowd will cover 11% of the CAPEX, while the maximum funding goal will cover 12% of the CAPEX.


FINANCING PLAN

All loans between investors and Sens Solutions will have a duration of 12 months and will consist of semi-annual installments. The loan repayment will be in bullet form, with equal installments throughout the duration of the loan, during which only the interest accrues, and one installment at the end of the loan, which includes both the last interest installment and the entire borrowed capital.

The repayment plan for the Sensing Solutions, S.L. project is calculated with an interest rate of 10.00% for a total of 100,000 euros.

The loan consists of a semi-annual installment of 5,000 euros and a final installment of 105,000 euros.

EFFECTS OF THE USE OF AIR MONITORING DEVICES

The devices produced by Sens Solutions aim to reduce prolonged hospital stays due to nosocomial infections by 20 days. Considering that the monthly energy expenditure per patient in a hospital is approximately 3,000 kWh per month (according to the Spanish Society of Healthcare Executives, SEDISA), each avoided prolonged hospital stay would save about 2,000 kWh per month. It is estimated that every year, 3,500 people die in Spanish hospitals due to nosocomial infections, so Sens Solutions devices aim to prevent these deaths, as well as other infections that do not lead to the patient's death. Avoiding these infections would mean reducing energy costs by 7,000 MWh per year in Spain.

Although these numbers may seem surprisingly large, it is important to note that Spanish hospitals alone account for 2.4% of the energy consumed in our country. The reduction in energy expenditure brought by Sens Solutions devices would represent a 0.12% reduction in energy consumption in Spanish hospitals.

For this specific project, it has been estimated that 0.1% of children in classrooms monitored by Sens Solutions devices contract infectious diseases that require hospitalization and that their hospital stay is in line with the average length of stay for a patient (30 days).

ENVIROMENTAL BENEFITS

It is estimated that the Sens Solutions project will result in an annual energy saving of 15 MWh, equivalent to:
